Welcome to SureLink AI Inc. ("SureLink AI," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our standalone desktop AI knowledge access software application (the "Software" or "Services"), which offers three operational modes:
By downloading, installing, accessing, or using the Software, you agree to be bound by these Terms. If you do not agree, you must not download, install, or use the Software.
These Terms form a legally binding agreement between you ("you" or "User") and SureLink AI Inc. If you are using the Software on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.
Content: Refers to any prompts, inputs, outputs, data, text, images, or other materials you provide to, generate through, or store within the Software on your local device.
Feedback: Refers to any suggestions, ideas, advice, enhancements, or other input you explicitly provide directly to SureLink AI Inc. or its employees, such as via email, contact forms, surveys, direct communications, or otherwise, regarding the Software or our business.
Services: Refers to the SureLink AI standalone desktop AI knowledge access software application and any related documentation or features provided by us.
You must be at least 18 years old or the age of majority in your jurisdiction to use the Software. By using the Software, you represent that you meet these requirements.
Subject to your compliance with these Terms, SureLink AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on your local device solely for your personal or business purposes. You may not use the Software for any illegal, unauthorized, or competitive purposes, including but not limited to reverse engineering, decompiling, or creating derivative works of the Software.
The Software functions as a standalone desktop AI knowledge-access application with three user-selectable processing modes:
By choosing either mode and using the Software, you acknowledge and agree to the data-handling practices described above.
You are responsible for all activities conducted through your use of the Software and must maintain the security of your device and any data stored thereon.
All rights, title, and interest in and to the Software, including but not limited to code, algorithms, AI models, interfaces, documentation, trademarks, copyrights, patents, and trade secrets, are and will remain exclusively owned by SureLink AI Inc. or its licensors. You are granted no rights to our intellectual property except as expressly provided in these Terms. Unauthorized copying, modification, distribution, resale, or any other unauthorized use is strictly prohibited.
You retain all ownership rights in all Content you supply to or generate with the Software—including prompts, inputs, outputs, and any other data—regardless of the processing mode selected.
Except as expressly provided elsewhere in these Terms (for example, with respect to Feedback), SureLink AI does not claim any ownership interest in your Content. You remain solely responsible for managing, backing up, securing, and ensuring the legal compliance of your data—whether it resides locally or is processed via SureConnect. Outputs are generated algorithmically based on your inputs and may be unpredictable; SureLink AI disclaims responsibility for their accuracy, legality, or quality. Exercise appropriate caution before submitting sensitive or personal information in either mode.
If you explicitly provide Feedback directly to SureLink AI Inc. or its employees (e.g., via email, support channels, or other direct submissions), you hereby assign to us all rights, title, and interest in and to such Feedback, including any intellectual property rights therein. We may use, modify, incorporate, or commercialize such Feedback without any obligation to you, including without compensation or attribution. This assignment is perpetual, irrevocable, worldwide, and royalty-free.
For clarity: This section applies only to Feedback explicitly provided directly to us and does not apply to your Content used or generated within the Software on your local device. We do not own or access any prompts, inputs, outputs, or data (including customer data) you process through the Software unless you choose to share it with us.
Your privacy is paramount to SureLink AI. The Software now offers three processing modes, each designed to safeguard your data:

By using the Software in either mode, you acknowledge that you remain responsible for complying with all applicable data-protection laws governing your Content.
You agree to:
1) Use the Software in compliance with all applicable laws, regulations, and these Terms, including data protection laws applicable to customer data.
2) Not use the Software to generate or process any Content that is unlawful, harmful, defamatory, infringing, or otherwise objectionable.
3) Not attempt to interfere with the Software, including hacking, introducing viruses, or modifying the Software in unauthorized ways.
4) Safeguard your own device, data, and backups. You are solely responsible for any data loss or device malfunction arising from your use of the Software.
5) Obtain all necessary rights, consents, and permissions for any Content (including customer data) you process with the Software.
6) You represent and warrant that your use of the Software does not infringe third-party rights and that you have all necessary authorizations to process any customer data.
You may not:
Use the Software to generate or distribute harmful, illegal, or unethical content.
Resell, rent, or otherwise commercialize the Software without our written consent.
Use automated tools to extract or modify the Software's internal components.
Impersonate others or misrepresent your affiliation with any entity.
We reserve the right to update or modify the Software to enforce these restrictions, but as a standalone app, we do not monitor your usage remotely.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SURELINK AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so the above may not apply to you.
You agree to indemnify, defend, and hold harmless SureLink AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Software; (b) your Content (including customer data); (c) your violation of these Terms; or (d) your infringement of third-party rights.
You may uninstall and stop using the Software at any time. We may terminate or update these Terms, which would apply to any future versions of the Software you download. Upon termination of these Terms, your license to use the Software ends immediately. Sections that by their nature should survive termination (e.g., ownership, liability, indemnification) will continue to apply.
Since the Software is standalone, termination does not affect Content already on your device.
We may provide updates to the Software from time to time to improve functionality, fix bugs, or enhance security. These updates may be downloaded automatically or manually, but no data from your device will be transmitted to us during the update process. Your continued use of updated versions constitutes acceptance of any changes.
We may update these Terms from time to time. We will notify you of material changes via our website or through Software updates. Your continued use of the Software after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Software.
These Terms are governed by the laws of the State of Colorado, without regard to conflict of laws principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Larimer County, Colorado. You agree to submit to the personal jurisdiction of such courts.
We encourage informal resolution first. You agree to notify us of any dispute in writing, and we will attempt to resolve it within 30 days before pursuing formal action.
Severability: If any provision is held invalid, the remainder remains in effect.
No Waiver: Our failure to enforce any right does not waive it.
Entire Agreement: These Terms constitute the entire agreement between you and us.
Assignment: We may assign these Terms without your consent; you may not assign without our written consent.
Force Majeure: We are not liable for delays due to events beyond our control.
